(Assuming you are trying to bind as 'rootdn')
Use rootdn (in slapd.conf) to bind (-D option) and make sure you have
the right password. To test you can enter the rootpw in cleartext, in
case md5 hash isn't right.

You can start slapd with '-d NUM' on the command line to see whats
going on. It helps me a lot. Check out
